This constitution was agreed at the AGM held on 16th April 2018. In 2019, the Friends of Bennerley Viaduct unanimously agreed to apply for charitable status. Our application to become a Charitable Incorporated Organisation (CIO) is  currently with the Charity Commission.



1. Name

The group will be called The Friends of Bennerley Viaduct (FoBV)

2. Aims
bring the viaduct back into use.
make the site accessible to all.
maintain a variety of habitats both on the structure and in the area around it, in order to encourage biodiversity.

3. Objectives
engage communities and individuals in activities in support of the aims
raise awareness of the viaduct locally, nationally and internationally
work with partners to improve the condition of the viaduct and its surrounds
work with partners to fund and deliver projects in support of the aims
contribute to a Management Plan for the site.
raise funds to support the activities of the group

4. Membership

Membership of the Friends shall be open to anyone who is interested in helping the group to achieve its aims and objectives

Membership shall consist of a committee and members of the group.

5. Membership fees

Membership fees (if required) will be set annually and agreed at the Annual General Meeting.

6. The Committee

There will be a committee of seven to be elected annually.

The committee will be composed of Chair, Secretary, Treasurer and four others.

The committee will have the power to co-opt other members with special expertise or for specific tasks.

The committee will have the power to take decisions on behalf of the group and will report to general meetings.

Committee members will retire after one year but can put themselves forward for re-election at the AGM.

7. Finance
The Friends will raise funds through membership fees, sale of merchandise, donations and from grant applications.

Funds will be used to finance the group’s activities carried out in pursuance of its aims and objectives and to contribute to any partnership projects entered into.

The financial year will end on 31st March.

An audited statement of annual accounts will be presented by the Treasurer at the Annual General Meeting.

8. Meetings

Where possible general meetings, open to all members and to the public, will take place every two months. Minutes will be taken, circulated to members and posted on the FoBV website

Where possible the committee will meet every month and additional meetings will be arranged if necessary. Minutes will be taken and posted on the FoBV website.

Meetings will be chaired by the chairperson or another member of the committee in the chairperson’s absence.

The Annual General Meeting will take place within 15 months of previous AGM.

Notice of the Annual General Meeting (AGM) will be given by the Secretary. Not less than 21 clear days’ notice to be given to all members.

The AGM will receive reports from the chairperson and treasurer and a statement of the audited accounts.

Resolutions to be decided at the AGM must be submitted to the Secretary prior to the AGM as stated in the Notice of AGM.

Nominations for committee membership must be sent to the Secretary prior to the AGM as stated in the Notice of AGM.

Elections of committee members are to take place at the AGM.

All members have the right to vote at the AGM and may be asked to show a current membership card.

The quorum for AGMs will be six including at least one committee member.

The committee has the right to call Extraordinary General Meetings (EGMs) outside the AGM. Procedures for EGMs will be the same as for the AGM.

9. Winding Up

The members may vote to wind up the group if more than three quarters of those present support such a proposal at a properly convened meeting.
The committee will then be responsible for the orderly winding up of the group’s affairs.
After settling all liabilities of the group, the committee shall, with the agreement of the group, dispose of the net assets remaining to another group with similar purposes

10. Amendments to the constitution

The constitution will only be changed through agreement by majority vote at an AGM or EGM.

11. Declaration

The Friends of Bennerley Viaduct hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
